The site is owned and operated by Proterms Ltd, company registration 11702681, referred to in this agreement as ‘we’, ’our’, ’ours’ or ‘us’.
A customer (‘Customer’) is a business with which we have entered into a subscription agreement. If you are not a Customer you may view and/or download the public facing presentation of this Site subject to the terms and conditions herein that apply to all users.

Nature of Site
- Proterms provides a facility to store contract templates and customer documents with edit, download and track functionality.
- Proterms may authorise a customer to access the Site by providing login credentials, for the customer and its authorised users. Customer shall not share the credentials with any other person.
- Unless you are authorised by Proterms to have free use of the Site, all use of the Site is in accordance with Proterms Subscription Services Terms and Conditions (‘Subscription Agreement’). Any free use of the Site is subject to these terms without prejudice to any other terms we may have agreed with you.
Ownership & Copyright
- All material on this Site including these terms of use, is subject to copyright and should not be copied or reproduced other than in accordance with the following:
- You may print or download to a single local hard drive extracts from the non customer content of this Site for your personal use only;
- You may not use any tool or method to reverse engineer or interfere with the Site or seek access to parts of the Site that may not be available without a relevant authorisation or subscription.
- The authors of material on this Site reserve their moral rights.

Data protection and confidentiality
- All personal data of the Customer input by us shall be processed in accordance with our Privacy Policy
- All data, whether personal data or otherwise, that is input by the Customer (‘Customer Data’) into a document on the Site is the property of the Customer, shall be kept confidential, and will not be used by Proterms save to the extent permitted herein or under another agreement.
- In providing services to you we are acting on your instructions in storing the data and for the purposes of data protection legislation in respect of Customer Data that is personal data you are the Controller and we are a Processor (as defined in data protection legislation) whose obligation is limited to storage of Customer Material for the Customer.
- Customer Material comprises the documents you save for storage and/or use on the Site whether or not containing Customer Data, without prejudice to intellectual property rights in any content belonging to a third party.
- Save as provided for herein and rights belonging to a third party, you shall own all rights, title and interest in and to all Customer Material and Customer Data, and you shall have sole responsibility for the legality, reliability, integrity, accuracy and quality of all such data. For the avoidance of doubt this provision does not afford you any rights beyond those to which you may be legally entitled.
- Both Proterms and Customer agree to comply with all applicable requirements of the Data Protection Legislation and to cooperate with each other in the provision of information relating to the processing of Customer Data.
- We shall use our reasonable endeavours to assist you, at your cost, in responding to any request from a data subject and in ensuring compliance with its obligations under data protection legislation with respect to security, breach notifications, impact assessments and consultations with supervisory authorities or regulators.
- Proterms and Customer shall ensure that each respectively has in place appropriate technical and organisational measures to protect against unauthorised or unlawful processing of personal data and against accidental loss or destruction of, or damage to, personal data, appropriate to the harm that might result from the unauthorised or unlawful processing or accidental loss, destruction or damage and the nature of the data to be protected, having regard to the state of technological development and the cost of implementing any measures (those measures may include, where appropriate, pseudonymising and encrypting personal data, ensuring confidentiality, integrity, availability and resilience of its systems and services, ensuring that availability of and access to personal data can be restored in a timely manner after an incident, and regularly assessing and evaluating the effectiveness of the technical and organisational measures adopted by it).
- We may use Customer Material for the purpose of improving our services, assessing performance or providing statistical analysis for the purposes of marketing or services development, but not so that your identity or detail of arrangements or specific terms contained within Customer Material or Customer Data is revealed or allowed to be capable of being revealed.

General
- All material on the public facing presentation of the Site is provided for general information purposes only.
- Edit and data input by a Customer is personal to the Customer, consequently neither Proterms nor its employees shall be liable for any action taken by the Customer whether on the advice of a third party or otherwise.
- Storage shall continue for so long as is required by the Customer in accordance with any separate terms agreed with the Customer.
- We may provide hyperlinks to other sites, which are not operated by us. Using such a link means you are leaving our Site and we take no responsibility for, and give no warranties, guarantees or representations in respect of linked sites.
- The Site is provided “as is”. Except as otherwise agreed we make no representations or warranties of any kind, whether express, implied, statutory or otherwise (including any implied warranties of merchantability, satisfactory quality, fitness for a particular purpose) regarding the Site including any warranty that the Site will be uninterrupted, error-free or free of harmful components, or that any content, including your content or any third party content, will be secure or not otherwise lost or damaged.
- Proterms is not responsible for any delays, delivery failures, or any other Losses resulting from the transfer of data over communications networks and facilities, including the internet, and you acknowledge that the Site and its contents may be subject to limitations, delays and other problems inherent in the use of such communications facilities.
- No part of these terms is intended to constitute an exclusion of any liability which cannot be excluded under English Law.
- Save to the extent that we have entered into a Subscription Agreement or other agreement with you, these terms of use contain the entire agreement between us with respect to your use of the Site.
- These terms shall be governed by and construed in accordance with the laws of England & Wales, and the English Courts shall have sole jurisdiction.
- Use of this site is prohibited in any jurisdiction that does not give effect to all provisions of these terms and conditions.
